Baimo Director Creator Partnership Agreement
Review draft · 2026-10-06-draft.4
This document is available for review and has not activated electronic contracting. Party A means the platform operator, and Party B means the approved partner entering this partnership. Applicants do not need to replace those labels. Before final confirmation, the operator’s legal identity must be disclosed, and the partner must confirm their approved individual terms. Existing partners are not treated as having automatically accepted this draft.

| Customer channel discount | The settings approved for Party B in the administration system, displayed to and confirmed by Party B. No universal discount is fixed in this agreement. |
| Partner sales commission | The settings approved for Party B in the administration system, displayed to and confirmed by Party B. This is calculated separately from the customer discount. |
| Monthly settlement | Eligible orders are settled monthly after a 30-day hold. |
| Settlement currency and method | CNY: a mainland China bank account, Alipay or WeChat. USD: PayPal or Payoneer. The reviewed account must actually be able to receive the payment. |
The final confirmation must retain the identities, actual approved values, currencies, approval revision and effective time. An account nickname or a later change to current settings does not replace identity confirmation or preservation of the original terms.
1. Scope of the partnership
Party B promotes Baimo Director through accurate demonstrations, recommendations, tracking links or channel codes. All buyers pay through Dodo Payments on the official website. Party A verifies orders, delivers licenses and provides product support. Party B must not privately collect payment for website orders, stockpile or resell license codes.
The parties are independent. This does not establish employment, a legal partnership, exclusive agency or authority to represent Party A. The program provides a single level of sales commissions, charges no joining fee, and promises no minimum income, recruitment rewards, automatic repeat purchases or lifetime commissions.
2. Attribution and commission
The customer discount and Party B’s commission follow the approved individual settings confirmed by both parties. The workspace displays Party B’s own terms. Checkout applies the valid customer discount. Each order uses the terms saved at the time of sale; subsequent changes do not recalculate existing orders.
Commission equals the discounted, tax-exclusive net sale after actual refund adjustments, multiplied by the approved commission rate saved for that order. Under the current rules, sales payment-processing fees are not subtracted from the commission base. Discounts and commissions are calculated separately.
Only verified, successful website payments validly attributed to Party B earn commission. Buyers should use Party B’s tracking link or channel code. Sales without valid attribution are not automatically assigned to Party B. Questions about attribution or amounts can be reviewed using the official order reference; Party A should explain the evidence used.
For example, an order with a tax-exclusive net sale of US$100 and a saved 20% rate earns US$20. This example does not give every partner a 20% rate. Later rate changes do not retrospectively alter completed orders.
3. Settlement requests and receipt
Eligible orders enter the available balance 30 days after payment. After their lawful receiving account is reviewed, Party B may request the entire available balance in that currency. Each currency permits one successful settlement per month. CNY and USD are accounted for separately; the platform does not automatically convert currencies.
Party A processes approved requests on the agreed monthly payment date. Transfer initiation fees are paid separately by Party A and do not directly reduce requested commission. Receiving, withdrawal or conversion fees charged separately to Party B by their provider follow that provider’s rules. Changes to fee allocation must be explicitly agreed.
Party A records a payment only after actually transferring it, retaining the transfer reference, currency, amount and reviewed receiving-account snapshot. Party B confirms actual receipt in their workspace. Preparing or exporting a payment batch does not mean a payment has been sent. Reporting a missing or incorrect receipt does not waive Party B’s right to review.
When an outcome is unknown, check the original transfer instead of paying again. Party A explains receiving-detail errors, outstanding review, transaction exceptions or payment-channel restrictions and discusses their resolution with Party B; these must not be used to unjustifiably delay confirmed commission. Each party handles its taxes as required by law. Required withholding or payment evidence must be explained in advance. Overseas transfers depend on a channel both parties can actually use under provider rules and applicable law.
4. Refunds, disputes and corrections
Delivered digital licenses are not subject to unconditional change-of-mind refunds. Undelivered products, duplicate or erroneous charges, serious defects and legally required refunds follow the purchase-time terms, applicable law and payment-platform rules. Bank chargebacks and payment disputes may still occur. The 30-day hold concerns commission; it is not a buyer’s change-of-mind refund period and does not guarantee that later disputes cannot occur.
Affected commission may be paused or reduced according to verified refund or dispute outcomes. If a dispute is resolved and the sales proceeds are retained, eligible commission is reviewed again. Before payout, the available amount is adjusted. After payout, the payment fact is preserved and the reconciled difference can offset later commissions. Party A does not automatically debit Party B’s account. If there is insufficient future commission and the partnership ends, both parties review the evidence and discuss lawful resolution.
5. Promotion and materials
Party B must describe actual product capabilities, prices and conditions accurately and disclose the commercial partnership when publishing. Party B must not promise guaranteed earnings, fabricate purchases, misuse identities, infringe third-party rights or violate publishing-platform rules. Party B cannot independently promise refunds, grant licenses or contract on behalf of Party A.
Materials that Party A is entitled to provide may be used within the agreed promotion scope; intellectual property is not transferred. Party B retains rights in content they lawfully create. Separate permission is needed for Party A to republish, advertise with or edit that content where required. After termination, Party B must stop claiming an active official partnership and reasonably correct inaccurate or outdated promotion.
6. Information and account security
Party B supplies accurate, necessary contact and receiving information, updates changes and submits changed receiving details for review. Party A uses these details for partnership review, attribution, reconciliation, settlement and disputes, shares them only as necessary with service providers, and does not publicly disclose full account details or use them for unrelated advertising.
Financial receiving-account information and any relevant overseas data provision require the notices and consents appropriate to the actual processing. A single agreement checkbox does not replace them. Both parties protect workspace access, invitation links and payment files. Party B must not share private sign-in links or obtain unnecessary information about other partners or buyers.
7. Changes, suspension and termination
Either party may request termination through the partnership contact email. Suspected fraudulent sales, identity misuse, unlawful promotion or account-security issues may justify a proportionate pause of affected promotion or settlement, with reasons, supporting evidence and a review route.
After termination, new promotion stops. Validly attributed eligible orders completed before termination remain subject to verification and settlement under their agreed terms. Normal commissions are not forfeited merely because the partnership ended. Refund adjustments, confidentiality and dispute provisions continue where applicable.
Material changes, such as a reduced commission rate or changed fee allocation, must be displayed and confirmed in advance and apply prospectively to new orders from the agreed effective time. A partner who does not agree may end future cooperation; completed sales are not retrospectively changed.
8. Electronic confirmation, interpretation and disputes
Before applying, the applicant can read the agreement and general rules above the submit button and actively check the relevant box. Consent to use application details for review and contact is separate. Neither box is preselected. Application-stage confirmation does not mean individual discounts, commissions or payment conditions have been approved.
After approval, Party A should display its legal identity, Party B’s account, the approved discount and commission, currency, payment conditions and agreement version. Party B then actively confirms these individual terms. The agreement takes effect at the time confirmed by both parties, with a retained, accessible copy of the agreement, terms and confirmation record. Opening an invitation or sign-in link alone is not that confirmation. An ordinary checkbox is not represented as a certified reliable electronic signature.
The platform explains and manages this agreement and the program rules within the agreement, confirmed terms and applicable law. Interpretation cannot remove legally required responsibilities, exclude the partner’s principal rights or arbitrarily change confirmed commissions. Disputed rights are not determined solely by the platform.
The agreement generally follows the laws of mainland China without excluding mandatory laws applicable to cross-border cooperation. The parties first seek an agreed resolution and may then approach a competent court in accordance with applicable law. Questions or objections can be sent to info@edria.cn.
